Code of Ethics & Conduct

The values, principles and rules of conduct that guide the internal and external relationships of Data Riders. A living document, aligned with global standards such as TSM (Towards Sustainable Mining) and The Copper Mark, reviewed periodically and supported by training and a secure reporting channel.

Art. 1 Introduction

Data Riders is a Brazilian consulting firm that values excellence, innovation and reliability. Our purpose is to promote sustainable and inclusive solutions, aligned with global standards such as TSM (Towards Sustainable Mining) and The Copper Mark, which demand not only environmental governance and safety but also social responsibility and respect for human dignity.

This Code of Ethics & Conduct reflects the values that guide the work of every person at Data Riders, ensuring compliance with laws and regulations and promoting responsible, upright and transparent behaviour.

Art. 2 Objectives & scope

Objectives

  • Formalise the ethical principles and rules of conduct that guide internal and external Data Riders relationships.
  • Ensure everyone understands their responsibilities when representing the company.
  • Guide decisions that promote integrity, reliability and sustainability in the consulting activities we perform.

Scope

  • All employees, directors, consultants, partners and third parties acting on behalf of Data Riders must comply with the guidelines presented here.
  • It applies to every area of activity and every project carried out by the company, as well as to administrative activities and relationships with stakeholders.

Art. 3 Fundamental principles

Our behaviour is guided by six interlocked principles: integrity, respect, quality, responsibility, confidentiality and sustainability. Every decision taken under Data Riders' name must be testable against these principles.

Art. 4 Integrity & honesty

  • Act with honesty in every activity and communication, complying with laws, regulations and the commitments made with clients, partners and society.
  • Avoid any omission or distortion of facts that could harm the company's image or compromise the trust placed in us.
  • Provide reliable, verifiable and traceable information in all deliverables.

Art. 5 Respect, dignity & diversity

  • Ensure an inclusive workplace where every person is treated with dignity and respect, regardless of gender, race, sexual orientation, religious belief, age or any other personal characteristic.
  • Actively promote diversity, equity and inclusion in all internal and external actions.
  • Foster a culture of active listening and psychological safety for colleagues, clients and communities.

Art. 6 Quality & responsibility

  • Provide consulting services with a high standard of quality, caring for client satisfaction and success.
  • Assume responsibility for decisions made, always seeking the best solution for all parties and considering the socio-environmental impact of our actions.

Art. 7 Sustainability

  • Commit to environmental protection by using resources efficiently and promoting practices that reduce GHG emissions and conserve natural resources.
  • Integrate sustainability considerations into every project and activity, consistent with our commitment to emissions reduction and sustainable practices.

Art. 8 Conflicts of interest

  • Act in a way that personal interests do not interfere with the best interest of Data Riders or its clients.
  • Immediately report any potential conflict of interest to leadership so it can be treated transparently.

Art. 9 Anti-corruption

Act with integrity and responsibility in relationships with public agencies, partners and clients, rejecting any practice of bribery, fraud or corruption. Our detailed Anti-Corruption Policy is available on commitment 5.

Art. 10 Confidentiality

  • Preserve the confidentiality of strategic or sensitive information belonging to clients, partners and Data Riders itself.
  • Disclose publicly only information that is accurate, appropriate and aligned with Data Riders' values.

Art. 11 Use of company resources

Use Data Riders' resources, equipment and project budgets responsibly and efficiently. Avoid personal use of company resources, including AI subscriptions, cloud services and proprietary data assets, without authorisation.

Art. 12 Reporting channel

Safe reporting channel

Data Riders maintains a secure and confidential channel to report behaviour that violates this Code, the law or any unethical practice. All reports are investigated impartially and confidentially, with protection against retaliation. To open a report, write to [email protected] with the subject "Code of Conduct — Report".

Art. 13 Training & updates

  • Data Riders provides periodic training on this Code of Ethics & Conduct, reinforcing our values and commitments.
  • The Code is reviewed periodically to keep pace with legal developments and best practices in governance, including TSM and The Copper Mark standards.
  • New hires receive this Code during onboarding and sign acknowledgement of its terms.

Art. 14 Sanctions for non-compliance

Violations of this Code may result in disciplinary measures proportional to the severity of the breach, including verbal warnings, written warnings, suspension, termination for cause, contract termination with partners and third parties and, when applicable, notification to authorities and civil or criminal proceedings.
